Consultant Terms of Service

These Consultant Terms of Service (the “Terms”) are a binding agreement between you (the “Consultant”) and RetroGrade Arc (the “Company”, operated by its proprietor), governing your access to and use of the Griha Vastu consultant platform, including the Pro and Studio tiers, the Vastu analysis engine, the knowledge base, the report generator, the branding and knowledge-base editing tools, and related software and services (collectively, the “Platform”). By creating an account, accepting these Terms, or using the Platform, you agree to be bound by them.

1. Plans & license. Subject to your compliance with these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during your active subscription, solely to generate Vastu reports for your own bona-fide clients. The scope depends on your plan: (a) Pro — generate the standard 16-direction and 32-pada grid reports using the Company’s default branding and the Company’s knowledge base; (b) Studio — additionally generate the premium report, apply your own white-label branding (name, logo, colours, contact block), and edit your own copy of the knowledge base, as described in Sections 2 and 6. No rights are granted beyond those expressly stated, and the features available to you at any time are those of your then-current plan.

2. Intellectual property; the knowledge base. The Platform, the Vastu analysis engine, the knowledge base and all of its content as supplied by the Company (including all directional rules, impacts, remedies, domain analysis and prose), the report structure and templates, the software, and all related intellectual property are and remain the exclusive property of the Company. These Terms transfer no ownership to you. The white-label branding feature lets you present reports under your name; it gives you no ownership of the underlying engine, knowledge base, or software.

2.1 Your editable knowledge base (Studio). When you reach the Studio tier, the Company provisions for you an editable copy of the Company’s knowledge base, seeded with the Company’s content (the “Seed Content”). The Seed Content, and any modification or derivative of it, remain the Company’s intellectual property and are licensed to you for use only within the Platform to render your own reports. Original rules, text, or data that you independently author and add (your “Consultant Content”) remain yours; however, you grant the Company a worldwide, royalty-free, non-exclusive license to host, store, reproduce, and process your Consultant Content for the sole purpose of operating the Platform and generating your reports. You are solely responsible for your Consultant Content, including its accuracy and your right to use it, and you warrant that it does not infringe any third party’s rights. Your editable knowledge base is made available to you through the Platform; it does not give you any right to export, extract, scrape, copy out, or redistribute the Seed Content or the knowledge base in bulk or as a dataset.

3. Restrictions. You shall not, and shall not permit any third party to: (a) copy, reproduce, scrape, harvest, or bulk-extract the knowledge base (including the Seed Content and your editable copy of it), rules, remedies, report structure, or any other content or data of the Platform, whether manually or by any automated means, except to deliver finished reports to your own clients; (b) reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or knowledge base of the Platform; (c) resell, sublicense, rent, lease, redistribute, or otherwise make the Platform (or access to it) available to any third party except delivering finished reports to your own clients; (d) use the Platform, its content, or its outputs to build, train, or improve any competing or similar product or service; (e) remove, obscure, or alter any proprietary notices; or (f) access the Platform through any automated system or in any manner that exceeds normal interactive use.

4. Accounts & credentials. Accounts are issued to a single named Consultant. You may not share, sell, or transfer your credentials or account, and you are responsible for all activity under your account. You must keep your password confidential and notify the Company of any unauthorized use.

5. Acceptable use. You will use the Platform only for lawful purposes and only to serve genuine clients. You will not misrepresent the Platform, the engine, or the knowledge base as your own creation beyond the branding and knowledge-base editing expressly permitted, and you will not make false or misleading claims to your clients about the source or nature of the analysis.

6. Plans, fees & credits. Access to paid features requires an active subscription at the applicable plan and price (the Pro and Studio plans are billed on a recurring basis, e.g. monthly, and renew automatically until cancelled). Report usage is measured in credits. (a) Credit value & cost. 1 credit = ₹1; a grid report costs 1 credit and a premium report costs 5 credits (as displayed in your account). (b) Cycle grant. Each successful subscription charge adds that plan's per-cycle credit grant to your balance (Pro and Studio receive different grants, as displayed). Credits do not expire and carry over between cycles while your subscription is active. (c) Buying credits. You may purchase additional credits at any time at the displayed rate (1 credit = ₹1). Credits have no cash value, are redeemable only for generating reports within the Platform, are not a stored-value or prepaid payment instrument, are non-refundable, and confer no ongoing entitlement. (d) Lapse. If your subscription is cancelled or lapses, your credit balance is frozen and is forfeited after a 30-day grace period unless you re-subscribe within that period. (e) Changes. Plan pricing, the per-cycle credit grant, and the credit cost of a report may be updated from time to time; changes apply from your next billing cycle (for credit purchases, from the next purchase), and continued use after a change constitutes acceptance. All fees are exclusive of taxes unless stated, and applicable taxes (e.g. GST) will be added as required by law.

7. Tier changes, downgrade & cancellation. You may upgrade, downgrade, or cancel in accordance with the options made available to you. (a) On downgrade (for example, Studio to Pro) or on cancellation/non-payment, the higher-tier features cease to be available from the effective date — including premium reports, custom branding, and knowledge-base editing — and new reports you generate will use the Company’s default branding and the Company’s knowledge base. (b) Reports you have already generated remain accessible and retain the branding and knowledge-base content in effect when they were created. (c) Your Studio knowledge-base customizations are retained on our systems and are reactivated if you return to the Studio tier, but are not applied to new reports while you are not on the Studio tier. (d) Cancellation stops future renewals; your access continues until the end of the current paid period. Refund and cancellation terms are set out in the Company’s Refund & Cancellation Policy.

8. Client data. You are solely responsible for your clients’ data that you enter, for obtaining any necessary consents, and for your communications with and deliverables to your clients. In respect of that client data you are the Data Fiduciary and the Company acts only as a data processor on your behalf; you will comply with applicable data-protection and privacy laws, including the Digital Personal Data Protection Act, 2023.

9. Nature of the service; disclaimer. Vastu Shastra guidance is traditional and advisory in nature. The Platform’s analysis, scores, and remedies — whether based on the Company’s knowledge base or, on the Studio tier, on your own edited knowledge base — are provided for general guidance only and do not guarantee any specific outcome, result, health, financial, or other benefit. Where you edit your knowledge base, the resulting analysis is your professional content and your responsibility. The Platform is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to your use of the Platform. The Company’s total aggregate liability under these Terms shall not exceed the fees you paid to the Company in the three (3) months preceding the claim.

11. Suspension & termination. The Company may suspend or terminate your access immediately, without refund, if you breach these Terms (including any restriction in Section 3), or to protect the Platform or other users. You may stop using the Platform at any time. On termination, your license ends and you must cease all use of the Platform and its content. Sections 2, 2.1, 3, 9, 10, and 12 survive termination.

12. Changes; governing law. The Company may update these Terms; material changes require re-acceptance before continued use. These Terms are governed by the laws of India, and you submit to the exclusive jurisdiction of the competent courts at the Company’s place of business in West Bengal, India.
